中伦助力雅士利私有化及特别交易

2023年7月5日 ，雅士利国际控股有限公司（"雅士利"）宣布其控股股东中国蒙牛乳业有限公司（"蒙牛"）(HKSE: 2319），已根据开曼群岛法律以协议安排方式完成雅士利私有化。雅士利专注生产及销售优质婴幼儿配方奶粉及营养食品，是中国领先的国际化专业婴幼儿配方奶粉生产商。
On July 5, 2023, Yashili International Holdings Ltd. (“Yashili”) announced that China Mengniu Dairy Company Limited (“Mengniu”) (HKSE: 2319), Yashili’s controlling shareholder, had completed the privatization of Yashili by way of a scheme of arrangement under Cayman law. Yashili is a leading domestic infant formula producer with international presence that focuses on the production and sale of premium infant formula and nutrition food.
通过本次私有化，雅士利股东（蒙牛及其子公司除外）有权获得每股雅士利股份1.20港元的现金注销代价，私有化交易总估值约为13.7亿港元（1.74亿美元）。
Through the privatization, Yashili’s shareholders (Mengniu and its subsidiaries excluded) would be entitled to an amount calculated at the cancellation price of HKD 1.20 per share in cash. The total valuation of the privatization is approximately HKD 1.37 billion (USD 174 million).
本次私有化是蒙牛与达能为解除双方在中国的现有关系而进行的一系列交易中的一部分（“特别交易”）。
The privatization was part of a series of special deals between Mengniu and Danone to unwind their existing relationships in China.
